Section 01

Agreement to Terms

These Terms of Service ("Terms," "Agreement") constitute a legally binding contract between you ("User," "you," "your") and Proof ("Proof," "we," "us," "our"), governing your access to and use of the Proof trading discipline platform available at useproof.trade and any related services, features, content, or applications (collectively, the "Service").

By accessing the Service, creating an account, clicking "I Agree," or completing a subscription purchase, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, including any future modifications. If you do not agree to these Terms, you must immediately stop using the Service and delete your account.

These Terms apply to all visitors, users, and others who access the Service. Additional terms and conditions may apply to specific features, promotions, or services, and such additional terms are incorporated into this Agreement by reference.

Important: These Terms include a limitation of liability clause (Section 14), a disclaimer of warranties (Section 13), and provisions governing dispute resolution (Section 17). Please read these sections carefully as they significantly affect your legal rights.

Section 02

Description of Service

Proof is a web-based trading discipline and accountability platform designed to help active traders develop and maintain consistent adherence to their own pre-defined trading rules. The Service provides the following core functionality:

Pre-Trade Discipline Checklist

A structured, customizable pre-trade checklist that prompts traders to verify market conditions, emotional state, risk parameters, and strategic alignment before executing any trade. The checklist is entirely defined by the user based on their personal trading methodology.

Emotion Check System

A proprietary emotional state assessment tool that helps traders recognize and categorize their psychological state prior to trading. The system classifies emotional states into Safe, Caution, and Danger zones, providing feedback based on the trader's self-reported mental state — not on market analysis.

Daily Loss Lockout Enforcement

An automated daily loss limit enforcement mechanism that restricts access to trading-related activities within the platform once a user-defined daily loss threshold has been reached. This feature operates as a commitment device only — it does not connect to, interface with, or control any brokerage account, trading platform, or financial instrument.

Discipline Journal

A structured trade journaling system where users manually record trade details, outcomes, emotions, and rule compliance for the purpose of self-reflection and behavioral improvement.

Analytics & Scoring

Statistical summaries and discipline scoring derived entirely from data manually entered by the user. All metrics reflect historical self-reported behavior and carry no predictive value regarding future trading results.

Proof is a behavioral accountability tool. It does not execute trades, manage portfolios, provide market data, offer trading signals, or connect to any financial institution.

NOTHING WITHIN THE PROOF SERVICE CONSTITUTES FINANCIAL ADVICE, INVESTMENT ADVICE, TRADING ADVICE, LEGAL ADVICE, TAX ADVICE, OR ANY OTHER FORM OF PROFESSIONAL FINANCIAL OR INVESTMENT GUIDANCE.

By using Proof, you explicitly acknowledge and agree that you are not relying on Proof or its operators for any financial or investment guidance whatsoever.

Section 04

Eligibility

To access and use the Service, you must meet all of the following eligibility requirements:

Proof reserves the right to request proof of eligibility at any time and to suspend or terminate accounts where eligibility cannot be confirmed. By creating an account, you represent and warrant that all of the above eligibility requirements are satisfied.

Section 05

Account Registration & Security

To access the Service, you must create an account by providing a valid email address and password. You agree to provide accurate, current, and complete information during registration and to keep your account information updated at all times.

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at support@useproof.trade if you become aware of any unauthorized use of your account or any security breach.

Proof will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials. You may not share your account credentials with any third party or allow any third party to access the Service using your account.

One Account Per User

You may only maintain one active Proof account. Creating multiple accounts to circumvent access restrictions, billing, or any other platform policy is prohibited and may result in immediate termination of all associated accounts.

Account Accuracy

You agree not to impersonate any person or entity or misrepresent your identity or affiliation with any person or entity. All information you provide to Proof must be truthful and non-misleading.

Section 06

Subscriptions, Pricing & Billing

Access to the full Proof platform requires an active paid subscription. The following subscription plans are currently available:

Automatic Renewal

All subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date. By subscribing, you authorize Proof to charge your payment method on a recurring basis for the applicable subscription fee plus any applicable taxes until you cancel.

Payment Processing

All payments are processed by Stripe, Inc., a third-party payment processor. By subscribing, you agree to Stripe's terms of service and authorize Stripe to process your payment on our behalf. Proof does not store your full payment card information.

Taxes

Subscription prices are listed exclusive of applicable taxes. You are responsible for all taxes, duties, and other governmental assessments applicable to your subscription based on your jurisdiction. We reserve the right to collect applicable taxes where required by law.

Price Changes

Proof reserves the right to modify subscription pricing at any time. For existing subscribers, we will provide at least 30 days' advance notice of any price change via email to the address associated with your account. Your continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

Beta Access Codes

Proof may, at its sole discretion, issue limited-access beta codes that provide complimentary access to the Service for a specified period. Beta access codes are single-use, non-transferable, non-resalable, and may be revoked at any time without notice. Beta access does not constitute a subscription and carries no guarantee of continued access. Beta access codes have no cash value and are not eligible for refunds.

Failed Payments

If a subscription payment fails, Proof may suspend your access to the Service until payment is received. We may attempt to retry failed payments and will notify you of any billing issues via your registered email address.

Section 07

Cancellation Policy

You may cancel your Proof subscription at any time. Cancellation can be initiated by contacting support@useproof.trade. Upon cancellation:

Cancellation is effective at the end of the current billing period, not immediately upon request. If you wish to terminate your account immediately and request deletion of your data, contact support@useproof.trade.

Section 08

Acceptable Use Policy

You agree to use the Service only for its intended purpose of personal trading discipline tracking and accountability. The following uses are expressly prohibited:

Prohibited Activities

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund, as well as potential legal action where warranted.

Section 09

Intellectual Property Rights

The Service and its original content, features, functionality, design, code, trademarks, trade names, logos, and all associated intellectual property are owned by Proof and are protected by copyright, trademark, patent, trade secret, and other applicable intellectual property laws.

License to Use

Subject to your compliance with these Terms and maintenance of an active subscription, Proof grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial trading discipline purposes only.

Restrictions

This license does not permit you to: (a) reproduce, modify, distribute, publicly display, or publicly perform any part of the Service; (b) use any meta tags, hidden text, or other hidden identifiers using our name or trademarks; (c) frame or link to the Service without prior written consent; or (d) remove or alter any copyright, trademark, or other proprietary rights notices.

Feedback

If you provide Proof with any feedback, suggestions, or recommendations regarding the Service ("Feedback"), you grant Proof a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and incorporate such Feedback into the Service without any obligation to you.

Section 10

User Content & Data

The Service allows you to create, input, store, and manage trading journal entries, checklist configurations, trade data, notes, and other user-generated content ("User Content"). You retain full ownership of all User Content you submit to the Service.

License to User Content

By submitting User Content to the Service, you grant Proof a limited, non-exclusive license to store, process, and display your User Content solely for the purpose of providing the Service to you. Proof does not claim ownership of your User Content and will not use your personal trade data for commercial purposes or share it with third parties except as required to operate the Service or as required by law.

Accuracy of User Content

Proof is a self-reporting tool. The accuracy, completeness, and integrity of all User Content — including trade entries, outcomes, and rule compliance records — is entirely your responsibility. Proof does not verify, audit, or validate any User Content and cannot be held responsible for errors, omissions, or inaccuracies in your self-reported data.

Data Portability

You may request an export of your personal User Content at any time by contacting support@useproof.trade. We will provide your data in a standard format within a reasonable timeframe.

Section 11

Privacy

Your privacy is important to us. Our collection, use, storage, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into and made part of these Terms by reference. By using the Service, you agree to the collection and use of your personal information as described in the Privacy Policy.

We encourage you to review the Privacy Policy carefully before using the Service. The Privacy Policy explains what data we collect, why we collect it, how we protect it, and your rights with respect to your personal information.

Section 12

Third-Party Services

The Service integrates with and relies upon certain third-party services to function. These include:

Proof is not responsible for the privacy practices, security, availability, or content of any third-party services. Your use of third-party services integrated into Proof is subject to their respective terms and conditions. We encourage you to review the terms and privacy policies of all third-party services used by Proof.

The Service may also contain links to third-party websites for informational purposes. These links do not constitute an endorsement by Proof of those websites or their content. Proof is not responsible for the content, privacy practices, or security of any third-party websites.

Section 13

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE.

Without limiting the foregoing, Proof does not warrant or represent that:

You acknowledge that your use of the Service is entirely at your own risk. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you in their entirety.

Section 14

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROOF AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, TRADING LOSSES OR FINANCIAL LOSSES OF ANY KIND, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE — EVEN IF PROOF HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall Proof's total aggregate liability to you for all claims arising out of or related to these Terms or the Service exceed the greater of: (a) the total amount you paid to Proof in the three (3) months immediately preceding the event giving rise to the claim, or (b) fifty US dollars ($50.00).

The limitations of liability in this section apply to all causes of action in the aggregate, whether based on warranty, contract, tort (including negligence and strict liability), statute, or any other legal theory, whether or not Proof has been advised of the possibility of such damages, and even if a remedy set forth herein is found to have failed of its essential purpose.

Some jurisdictions do not allow limitations on certain categories of damages. In such jurisdictions, the limitations above will apply to the fullest extent permitted by applicable law.

Section 15

Indemnification

You agree to defend, indemnify, and hold harmless Proof and its officers, directors, employees, contractors, agents, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees and court costs) arising from or related to:

Proof reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate with Proof in asserting any available defenses. You agree not to settle any matter subject to your indemnification obligation without the prior written consent of Proof.

Section 16

Termination

Termination by Proof

Proof may, at its sole discretion, suspend or terminate your access to the Service at any time and for any reason, including but not limited to: violation of these Terms, fraudulent activity, abusive behavior toward staff or other users, failure to pay subscription fees, or if Proof determines that your continued access poses a legal or reputational risk to Proof.

In cases of material violation of these Terms, termination may be immediate and without prior notice. In other cases, Proof may provide reasonable notice before termination.

Termination by You

You may terminate your account at any time by cancelling your subscription and contacting support@useproof.trade to request account deletion.

Effect of Termination

Upon termination for any reason: (a) your license to use the Service immediately terminates; (b) you must cease all use of the Service; (c) Proof may delete your account data in accordance with the Privacy Policy; (d) any outstanding payment obligations survive termination. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 3, 9, 10, 13, 14, 15, and 17.

Section 17

Dispute Resolution

Informal Resolution First

Before initiating any formal legal proceedings, both parties agree to attempt to resolve any dispute informally. If you have a dispute with Proof, you should first contact us at support@useproof.trade and describe your concern in detail. Proof will attempt to respond and resolve the issue within 30 business days.

Binding Arbitration

If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Service — including questions of arbitrability — shall be submitted to binding arbitration under the rules of a recognized arbitration body. Arbitration shall be conducted on an individual basis. Each party shall bear its own costs of arbitration.

Class Action Waiver

YOU AND PROOF AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a dispute proceeds in court rather than arbitration, you and Proof each waive any right to a jury trial and any right to participate in class action or collective proceedings.

Exceptions

Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm or to protect intellectual property rights pending arbitration.

Section 18

Governing Law

These Terms and any dispute arising hereunder shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. To the extent that any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of courts of competent jurisdiction for the resolution of any such dispute.

If you are a consumer located in the European Economic Area or United Kingdom, nothing in these Terms affects your rights under the applicable mandatory consumer protection laws of your country of residence.

Section 19

Changes to These Terms

Proof reserves the right to modify, update, or replace these Terms at any time at our sole discretion. When we make material changes to these Terms, we will notify you by:

Changes will become effective upon the date specified in the notification, which will be no less than 14 days after notice for material changes. Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the changes take effect.
